Official Rules

  1. NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED. The Kate Spade “Bright Lights Big City” Sweepstakes ("Promotion" or "Sweepstakes") begins at 12:00:00 AM Eastern Time ("ET") on Wednesday, October 21, 2009 and ends at 11:59:59 PM ET on Friday, November 20, 2009 ("Promotion Period"). The Promotion is intended for participation only in the fifty (50) United States and the District of Columbia and shall be construed according to, and governed exclusively by the law of the State of New York and any applicable United States federal law. Do not participate in the Promotion if you are not physically located in and a legal resident of one of the fifty (50) United States or the District of Columbia at time of entry. Entry in the Promotion does not constitute entry into any other promotion, contest or Promotion. By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Kate Spade LLC ("Sponsor"), which shall be final and binding in all respects.
  2. ELIGIBILITY: The Promotion is open to legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older at the time of entry. Employees, officers and directors of Sponsor, GSI Commerce and Realtime Media, Inc. (collectively, "Promotion Entities"), their respective parents, affiliates, subsidiaries, divisions, advertising, promotional, fulfillment and marketing agencies, their immediate families (parent, child, sibling & spouse) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Promotion. Void outside the 50 United States and the District of Columbia. Also void where prohibited or restricted by law, rule or regulation. All applicable federal, state and local laws and regulations apply.
  3. HOW TO ENTER: LIMIT: One (1) entry per person/email address per day is permitted regardless of method of entry, except pursuant to the Tell-A-Friend Program detailed below. Subsequent entries from the same person and/or email address will be disqualified. For the purposes of the Promotion, a day shall mean a 24-hour period, beginning at 12:00:00 AM Eastern Time (“ET”) and ending at 11:59:59 PM ET. The Website's clock will be the official timekeeper for this Promotion. Any attempt by a person to use multiple email accounts to enter more than once may result in disqualification at the discretion of the judges or Sponsor.

    4. There are three methods of entry into the Promotion:

    1. To enter via the Website: Visit www.katespadelovesnyc.com (the "Website"). You will then arrive at the Sweepstakes registration page.  Complete the entry form with your true and correct information in all required fields and click the "Submit" button. Completion of the sweepstakes entry form will be considered an opt-in to receive promotional emails from Kate Spade. After entering your registration information and clicking on the "Submit" button, you will receive one (1) Sweepstakes entry.
    2. To enter via the Facebook application: Entrants will be able to enter the Promotion and earn additional Sweepstakes entries by using the Facebook application, once the application becomes available. The application will be available after the Website entry form is available. Complete the entry form with your true and correct information in all required fields and click the “Submit” button. Completion of the Facebook application sweepstakes entry form will be considered an opt-in to receive promotional emails from Kate Spade. After entering your registration information and clicking on the “Submit” button, you will receive one (1) Sweepstakes entry.
    3. To enter in-store:NO PURCHASE NECESSARY. To enter the Sweepstakes in-store, visit any participating Kate Spade retail store and request a Sweepstakes entry form from a sales associate. Complete the entry form with your true and correct information in all required fields and return the completed postcard to a sales associate.  Completion of the sweepstakes entry form will be considered consent to opt-in to receive promotional emails from Kate Spade. All entry forms collected at retails stores will be included in the Sweepstakes drawing defined below.

      4. Tell-A-Friend Program: You may earn additional entries each day via one and only one method below.

      Via Website: You will be able to earn additional Sweepstakes entries through the Tell-A-Friend program available via Entry Method #1.  Once on the Tell-A-Friend page, you can receive additional Sweepstakes entries by filling in or importing the names and valid e-mail addresses of unique friends/family members. You will receive one (1) additional Sweepstakes entry for each unique and valid person whom you refer to the Website or the Facebook application during the Promotion Period.  Limit: Fifteen (15) additional Sweepstakes entries per person per day for the length of the Promotion.

      Via Facebook Application: You will be able to earn additional Sweepstakes entries through the Tell-A-Friend program available via Entry Method #2.  Once you have submitted a valid entry through the application, you will be taken to the Facebook Tell-A-Friend screen where you will select the friends that you would like to Tell about the Promotion.  You will receive one (1) additional Sweepstakes entry for each unique and valid person whom you Request using the Facebook application, during the Promotion Period.  Limit: Fifteen (15) additional Sweepstakes entries per person per day for the length of the Promotion.

    Entries will be deemed made by the authorized account holder of the email address submitted at time of entry. In the event of a dispute regarding the identity of any potential winner, the potential winner will be deemed to be the authorized account holder of the email address submitted at time of Promotion entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the email address associated with the winning entry. If, in Sponsor’s sole determination, a dispute cannot be resolved, the entry will be deemed ineligible.  Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, garbled, or corrupted are void and will not be accepted. Except as noted in these rules, information collected from entrant is used only for the purpose of the prize drawing and to notify winners, and will not be re-used, sold or shared in any manner by Promotion Entities or any third parties unless entrant has elected to receive additional information and promotional material from Sponsor or a third party. Once the Promotion has ended, all information supplied by entrants will be removed from the promotion database.  In the event of any discrepancy between the privacy policy and these Official Rules, these Official Rules shall control and govern.  By entering the Promotion, you agree to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available here.

  4. SWEEPSTAKES DRAWINGS AND PRIZES/ODDS: An electronic randomized drawing will be held on or about Tuesday, November 30, 2009 by Realtime Media, Inc., an independent judging organization, to select one (1) Grand Prize winner from all eligible entries received.  Odds of winning depend on the number of eligible entries received.

    5. One (1) Grand Prize:One (1) trip for two (2) to New York, NY for 3 nights/ 4 days, two (2) tickets to a show, and $1000 in spending money.  Trip includes one (1) deluxe double occupancy hotel room courtesy of The Carlyle, a Rosewood Hotel, roundtrip coach class air transportation, ground transfers to and from the airport and hotel, three (3) dinners for two (2) in Manhattan. ARV of the Sweepstakes Prize is $5,300.00

    Grand Prize Restrictions
    Actual prize value depends on the location of the winner’s residence. The difference between the ARV and actual value of the prize will not be awarded. Travel must be booked at least sixty (60) days in advance of stay. Trip must be taken within one year of the promotion end date. If winner and guest cannot comply with these restrictions or any other portion of these Official Rules, the prize will be forfeited in its entirety and an alternate winner will be chosen. Winner and travel guest must travel together on the same itinerary and must travel from major airport closest to the winner’s residence. Any picture identification requirements associated with air travel are the winner and travel guest’s responsibility. In the event the Grand Prize winner lives within 100 miles from New York, NY, no transportation will be provided to hotel.  The hotel accommodations and show tickets will be selected at the sole discretion of Sponsor. If the Grand Prize winner is a minor in their state of residence, they must travel with a parent of legal guardian. If Grand Prize winner’s travel guest is deemed a minor in his/her state of residence he/she must travel with a parent or legal guardian. If parent or legal guardian is not the Grand Prize winner, no additional accommodations will be provided for the travel guest’s parent or legal guardian. All other expenses not listed as part of the prize, including certain meals, taxes and gratuities are the winner’s sole responsibility.

  5. PRIZE AWARDING: LIMIT: One (1) prize per person and/ or household. Prize will only be awarded upon potential winners’ verification and final approval by Sponsor. No prize substitution, cash equivalent of prizes, transfer or assignment of prize permitted, except by Sponsor in its sole discretion, due to prize unavailability for any reason, and only then for a prize of equal or greater value. Potential Grand Prize winners will receive prize notification via electronic mail and/or telephone call to the electronic mail address or telephone number they registered with and must confirm acceptance of their prize within ten (10) days of notification. If the potential winning entrant of prize cannot be contacted; is ineligible; fails to claim the prize; or if the potential winner otherwise fails to fully comply with these official rules, he/she will forfeit that prize and the prize will be awarded to an alternate potential winner. Once a Potential Winner has confirmed acceptance, Potential Winner will be sent via United States Postal Mail and/or overnight mail an Affidavit of Eligibility/Compliance & Publicity/Liability Release forms, a W-9 form to be completed by the Potential Winner. Potential Winners must complete, sign, notarize and return to RealTime Media all required forms within ten (10) days. The Potential Winner becomes the “Winner” only after receipt of all required forms and verification of eligibility by the judges and Sponsor. Prizewinner grants Sponsor the right to use and publish winner's proper name and State of residence online in connection with the Promotion. Acceptance of a prize constitutes permission for Sponsor and its affiliates to take photographs and/or video of the Prize winner, and use winner's name and likeness solely for advertising and promotional purposes as Sponsor so determines without notice or further compensation, except where prohibited by law.  All decisions of the judges and Sponsor shall be binding and final. The Promotion Entities do not assume any responsibility for any disruption in the Sweepstakes caused by circumstance or other unforeseen events outside of the control of the Promotion Entities. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Sweepstakes materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In no event will more prizes be awarded than those listed in Rule # 4.
  6. DISQUALIFICATION: Entrants found tampering with or abusing any aspect of this Promotion, as solely determined by the judges, will be disqualified. If disqualified for any of the above abuses, Sponsor reserves the right to terminate entrant's eligibility to participate in the Promotion. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to terminate, cancel, suspend and/or modify the Promotion if any fraud, virus or other technical problem corrupts the administration, security, or proper play of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right, but not the obligation, to award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.
  7. LIABILITY & RELEASE:  By participating in the Promotion, entrants agree to release and hold harmless the Promotion Entities from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt of any prize.  Entrant further agrees that in any cause of action, the Promotion Entities’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Promotion Entities be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
  8. TAX INFORMATION: All applicable federal, state, local, and other taxes on prizes are the sole responsibility of the applicable winner.
  9. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of New York.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsors in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
